1. Acceptance of Terms

By accessing and using the website ITXEasy.com and engaging in any transaction for the sourcing or sale of agricultural, seafood, or processed food products ("Products") provided by ITXEasy ("we," "us," or "our"), you ("Client," "Buyer," or "User") agree to be bound by these Terms and Conditions and all applicable laws and regulations.

2. Services Offered

ITXEasy operates as a Trade Exchange Solution Provider specializing in connecting global buyers with certified producers and suppliers in Vietnam and Southeast Asia. Our services include, but are not limited to:

  • Product Sourcing and Verification.

  • Price Negotiation and Quotation (FOB, CIF, etc.).

  • Quality Control and Inspection before shipment.

  • Logistics and Shipping Coordination.

  • Export Documentation and Certification Support.

3. Product Quotations and Orders

3.1. Quotations

All price quotations provided by ITXEasy are non-binding and subject to change without notice until a final written contract is executed. Prices are based on current market conditions, commodity prices, and specific order volumes.

3.2. Minimum Order Quantity (MOQ)

The Client must adhere to the Minimum Order Quantity (MOQ) specified in the final quotation for each Product. Orders below the MOQ may be subject to price adjustments or rejection.

3.3. Order Acceptance

An order is considered accepted only when ITXEasy issues a formal Proforma Invoice (PI) and the Client confirms acceptance by meeting the payment terms outlined in the PI.

4. Payment Terms

4.1. General Terms

Unless otherwise specified in the Proforma Invoice (PI) or a separate sales contract, the standard payment terms are as follows:

  • Deposit: A non-refundable 30% deposit of the total PI value is required to confirm the order and initiate production/sourcing.

  • Balance: The remaining 70% balance is due upon presentation of shipping documents (such as Bill of Lading copy, Commercial Invoice, Packing List, and Quality Certificate).

4.2. Payment Methods

All payments must be made in the currency specified in the PI (typically USD or EUR) via T/T (Telegraphic Transfer) to the official ITXEasy bank account. Other methods, such as L/C (Letter of Credit), may be negotiated for large orders.

5. Quality, Inspection, and Certification

5.1. Product Standards

All Products will conform to the specifications detailed in the final sales contract. ITXEasy guarantees that all Products are sourced from facilities holding recognized international certifications (e.g., HACCP, ISO, BRC, HALAL, or equivalent).

5.2. Pre-Shipment Inspection (PSI)

ITXEasy will arrange a final Pre-Shipment Inspection (PSI) by an internal Quality Control team or a nominated third-party inspector (at Buyer's cost or as agreed upon) to verify quality, quantity, and packaging prior to loading.

6. Shipping and Logistics

6.1. Delivery Terms

All delivery terms (e.g., FOB, CIF, CFR) will be defined according to the Incoterms® 2020 rules and specified clearly in the sales contract.

6.2. Risk Transfer

The responsibility and risk of loss or damage to the Products shall pass from ITXEasy (Seller) to the Client (Buyer) in accordance with the agreed-upon Incoterms. For FOB shipments, risk transfers when the goods are loaded onto the vessel.

6.3. Force Majeure

ITXEasy shall not be held liable for any delay or failure in performance due to events beyond our reasonable control, including but not limited to acts of God, war, terrorism, government regulations, or major disruptions to shipping lanes/ports.

7. Claims and Disputes

7.1. Quality Claims

Any claims regarding the quality, quantity, or condition of the Products must be submitted by the Client in writing within 7 days of the arrival of the goods at the destination port (or as otherwise specified in the contract). Claims must be supported by independent inspection reports and clear photographic evidence.

7.2. Limitation of Liability

ITXEasy’s liability for any claim shall not exceed the total value of the specific order or shipment that is the subject of the claim. ITXEasy is not liable for indirect, incidental, or consequential damages.

7.3. Governing Law and Jurisdiction

These Terms and Conditions and any transactions between the Client and ITXEasy shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any dispute arising from these Terms or transactions shall be submitted to the exclusive jurisdiction of the competent courts in Vietnam.

8. Intellectual Property

All content, logos (ITXEasy), trade names, and intellectual property displayed on ITXEasy.com are the property of ITXEasy and are protected by copyright and intellectual property laws. Unauthorized use is strictly prohibited.

9. Amendments

ITXEasy reserves the right to amend or update these Terms and Conditions at any time. The most current version will always be posted on ITXEasy.com. Continued use of our services after any such changes constitutes your acceptance of the new Terms.
